This document (hereinafter – T&C) constitutes an official public offer of Cryptology Key Labs LTD, who operates website https://www.keylabs.trade/ (hereinafter – the Website) to conclude a legally binding bargain on the terms and conditions provided below between you, user of the Website, and us.

This T&C covers both (a) use of this Website and (b) offer of the Services (described in section 4 below).

The entirety of the information provided in this document constitutes legally binding bargain guiding your interaction with us.

Please, read this T&C carefully and attentively (at least those parts directly related to your dealings with us), because the fact of your interaction with us means your acceptance of this T&C in its entirety.

3. Subject matter and core terms

Thus, we understand the subject matter of the T&C is your use of the Website in general, which means that you are a User.

That said, a User may be any person – resident/citizen of any of the sovereign states, who accept this T&C in its entirety, including all of the supplement documents (PP, CP, RP, etc.), considering compliance with the applicable to him/her law.

Please note, that no age or capacity to perform requirements applies to you. However, if you shall approach us with the request to provide our services, certain requirements shall be applied to you. Information on such shall be provided to you in due course of our communication on such subject matter.

This Website is designed to inform you with the information and allow you to communicate with us on digital assets market making services (hereinafter – the Services).

The provision of our Services may be conducted only on the basis of relevant agreement between you and us, which shall be concluded separately in either simple written, or electronic form. This T&C does not cover or integrate such agreement(s), but contrary may take place (e.g., reference or partial incorporation of T&C).

In context of our bargain with you, the party which fails to fulfill its obligations shall be fully liable for such violation to the fullest extent of the applicable law.

10. Limitation of liability

13. Termination

We reserve for us the right to terminate your access to our Website without any explicit reason effective immediately due to such reasons:

(i) you have materially breached this T&C (or committed and action which clearly and unambiguously means that you are not going to, or you are unable to, uphold this T&C);

(ii) we have to act this way due to the operation of applicable law, e.g., if provision of Service becomes illegal (either in further or retrospectively);

(iii) we cease to provide Service in your sovereign country (living/residence or consumption of the Service);

(iv) provision of the Service to you becomes commercially unattractive to our point of view.

Please note, that if you shall try to interfere with either (a) our Website, (b) servers, (c) other systems of automation, or (d) grossly violate this T&C or (e) we will become suspicious of you related to such – we may temporally or permanently suspend your access to the Website.

Both of us have the right to withdraw from the bargain unilaterally on the basis of valid reasons, envisaged by the applicable law.

The bargain governed by this T&C is deemed to be concluded for unidentified timeframe, and remains in force until either of the parties to it explicitly withdraws (via the written instrument of notification, or constructive behavior).

The agreement on the provision of Service, remains in force until its fulfilment by both parties, or until the moment when its termination is envisaged by this T&C.

16. Cease of Website use

You have the right to cease use of this Website at any moment without explanation of reasons for such cessation.

17. Changes in this T&C

We reserve for ourself the right to change and amend this T&C by means of (a) publishing changed/amended version on this webpage and (b) notifying you on such.

If you continue use of the Website after changes/amendments to the T&C enter into force – such constitute your constructive acceptance of such.

18. Invalidation and jurisdiction

If by the relevant court order any of the provisions of this T&C should be found invalid, such provision shall be excluded from the bargain unaffecting the rest of the provisions.

This T&C are governed by the law of England and Wales.
